Terms of Service
The agreement between you and ISS

These Terms of Service ("Terms") govern your use of the website at https://issrsa.com, the ISS user portal, and any software, documentation, training, or services obtained through them (together, the "Services"), provided by Innovative Systems Software, LLC ("ISS", "we", "us").
By using the Services, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm that you have authority to bind that organization, and "you" means that organization.
1. Portal accounts
Portal accounts are granted by approval, not by self-registration. You may request access at Request Portal Access. We may grant or refuse any request at our discretion.
You agree that:
- The information you give us is accurate and kept up to date.
- Your account is for you alone. You will not share your credentials or let anyone else use your account.
- You are responsible for everything done through your account.
- You will tell us promptly at support@issrsa.com if you believe your account has been compromised.
Where we issue a temporary password, you must replace it when you first sign in. We may suspend or close an account that breaches these Terms, or where a licence has lapsed.
2. Software licences
Software supplied by ISS, including RELAP5/SCDAPSIM, ASYST, RHYS, and FuelSim, is licensed, not sold. Your rights are set out in the licence agreement accompanying each product; where that agreement conflicts with these Terms, the licence agreement governs that software.
Unless your licence expressly says otherwise, you may not:
- Copy, distribute, sublicense, rent, lease, or sell the software.
- Reverse engineer, decompile, or disassemble it, except where that right cannot lawfully be excluded.
- Remove or alter copyright, licence, or proprietary notices.
- Use it beyond the number of seats, sites, or period your licence permits.
- Share activation codes, licence keys, or download links with anyone outside your licensed organization.
Demonstration and trial versions are licensed for evaluation only, for the trial period stated, and may not be used in production or commercial work.
3. Safety-critical and nuclear applications
Our software performs thermal hydraulic and severe accident analysis. It is an engineering tool, and its results depend entirely on the models, assumptions, and input data supplied by the user.
You are solely responsible for verifying and validating any result before relying on it, and for confirming that its use is appropriate for your application and satisfies any applicable regulatory requirement. ISS does not certify the safety of any plant, design, or analysis, and the Services are not a substitute for qualified engineering judgement, independent review, or regulatory approval.
4. Orders, pricing, and payment
Prices are shown in US dollars and may change at any time before an order is placed. Payment is processed by Stripe; by placing an order you also accept Stripe's terms. An order is accepted when we confirm it, and we may decline any order.
You are responsible for any taxes, duties, or bank charges that apply to your purchase beyond the amounts we collect.
5. Digital delivery and refunds
Software, licence keys, and course access are delivered digitally, usually by email immediately after payment is confirmed. Because these are digital goods delivered straight away, orders are generally non-refundable once the software has been downloaded or the licence key issued.
If delivery fails, you receive the wrong item, or the software does not perform as described, contact support@issrsa.com within 30 days of purchase and we will work with you to resolve it, including a refund where appropriate. Refunds are at our reasonable discretion and are returned to the original payment method.
6. Training courses and workshops
Purchased training gives the named individual access to the course content for the period stated at the point of sale. Course materials are for your own use and may not be redistributed, resold, or used to deliver training to others.
Workshops may be rescheduled or cancelled if minimum enrolment is not reached. If we cancel a workshop, you may transfer to another date or receive a full refund. Where a course offers a certificate, it is issued on completion of the stated requirements and confirms attendance and completion only.
7. Acceptable use
You agree not to:
- Use the Services unlawfully, or in breach of any export control or sanctions law.
- Attempt to gain unauthorised access to any account, server, or data.
- Probe, scan, or test the vulnerability of our systems without our written permission.
- Interfere with or disrupt the Services, or place unreasonable load on them.
- Scrape, harvest, or bulk-download content except as the Services expressly allow.
- Upload malware, or submit content that is unlawful or infringes someone else's rights.
- Misrepresent your identity, organization, or intended use when requesting access.
8. Export control
Our software may be subject to United States export control laws and regulations. You confirm that you are not located in, and will not export or re-export the software to, any country or party subject to US embargo or trade restriction, and that you are not on any US government list of prohibited or restricted parties. You are responsible for complying with all applicable export laws.
9. Intellectual property
All content on this site and in the portal, including software, documentation, training materials, text, graphics, and logos, is owned by ISS or its licensors and is protected by copyright and other intellectual property laws. Nothing in these Terms transfers ownership to you. RELAP5/SCDAPSIM and related marks are used under the arrangements applying to those products.
10. Third-party services
The Services rely on third parties including Stripe, SendGrid, Google, and AI providers, and link to external sites we do not control. We are not responsible for third-party content, availability, or practices. The TESSA assistant produces AI-generated responses that may be incomplete or incorrect; treat them as a starting point, not as verified engineering advice.
11. Availability
We aim to keep the Services available but do not guarantee uninterrupted access. We may suspend access for maintenance, and may change, suspend, or discontinue any part of the Services. We will give reasonable notice of a change that materially affects a paid service.
12. Disclaimer of warranties
Except as expressly stated in a signed agreement or product licence, the services are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. ISS does not warrant that the services will be uninterrupted or error free, or that results obtained from the software will be accurate or suitable for any particular purpose.
13. Limitation of liability
To the maximum extent permitted by law, ISS will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to the services, however caused and on any theory of liability, even if ISS has been advised of the possibility of such damages.
ISS's total aggregate liability arising out of or relating to the services will not exceed the amount you paid to ISS for the specific product or service giving rise to the claim in the twelve months before the claim arose.
Some jurisdictions do not allow certain exclusions or limitations, so parts of the two paragraphs above may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Indemnity
You agree to indemnify and hold harmless ISS and its members, officers, and employees from any claim, loss, or expense, including reasonable legal fees, arising from your use of the Services, your breach of these Terms, your violation of any law or third-party right, or any reliance placed on analysis results you produced using our software.
15. Term and termination
These Terms apply for as long as you use the Services. We may suspend or terminate your access immediately if you breach them. You may stop using the Services at any time and ask us to close your account. Sections that by their nature should survive termination — including licence restrictions, intellectual property, disclaimers, limitation of liability, indemnity, and governing law — survive.
16. Governing law
These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict of law rules. The state and federal courts located in Idaho have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to that jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Changes to these Terms
We may revise these Terms from time to time. The "last updated" date shows when they last changed. Continuing to use the Services after a change means you accept the revised Terms. Where a change materially affects a paid service, we will notify account holders by email.
18. General
These Terms, together with any product licence and our Privacy Policy, are the entire agreement between you and ISS regarding the Services. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent.
